    Most acquisitions that disappoint were decided before diligence began, and diligence then became a search for reasons to proceed. The discipline that protects a buyer is defining the mandate first: what the acquisition is for, what it must contain, and the price above which it stops being worth doing.

    Common questions

    What does due diligence actually cover?
    At minimum: the financial records and the assumptions behind them, tax exposures, material contracts and their change-of-control terms, employment obligations, litigation, and the condition of licences and regulatory permissions. Commercial diligence (whether the customers and market are what the seller describes) is frequently where the substantive findings are.
    How do we avoid overpaying?
    Set the walk-away price before negotiations start and against the mandate rather than against the asking price, then hold to it. Most overpayment happens late, after time and cost have been sunk and stopping feels like failure.
